This contract is effective as of September 21st, 2024 by and between the provider: Marina Mortoglou / Marina Arena LLC / ARENA Fitness Healthclub and the client: Marie Kube. By providing your typed/signed name below as an e-signature, you are consenting to the terms of this legally binding contract.

Description of Services

DAY ONE

Beginning on Saturday September 28th, 2024, Marina Mortoglou / MARINA ARENA, LLC will provide DJ services to the client Marie Kube, for a Zumba Fitness event featuring Walter Diaz beginning at 11:00am CST, ending at 2:30pm CST, for a total of approximately 3.5 continuous hours, 1 hour of prep, 2 hours of set up & sound check, 30 minutes of tear-down, NRF booking/hold fee, and travel, at the cost of two-hundred and ninety-nine dollars and forty-four cents ($299.44).

DAY TWO

Beginning on Sunday September 29th, 2024, Marina Mortoglou / MARINA ARENA, LLC / ARENA Fitness Healthclub will provide services to the client Marie Kube, for a Zumba Fitness event featuring Walter Diaz beginning at 1:00pm CST, ending at 4:30pm CST, for a total of approximately 3.5 continuous hours, 5 hours of prep/moving equipment moving/set-up/clean-up, a $2 per person capacity fee, a $100 cleaning fee, and a refundable damage fee of $150; at the total cost of six-hundred and four dollars ($604). This includes a one-hundred fifty dollar ($150) damage and security fee that may be returned post-event providing there is no damage to the building/property within the building, a $2 per-capita attendee fee that may be changed/altered based on attendance, & tax. The amount due if/when the fee is refunded is four-hundred and fifty-four dollars ($454).

Stipulations/Terms

              No attendees, event personnel, event site employees, including the client, guests or staff shall tamper with, destroy, break, steal or misuse any of Marina Mortoglou's equipment or property. This includes but is not limited to: Laptops, mixers, soundboards, amplifiers, speakers, subwoofers, speaker stands, cords, microphones, chargers, launch pads, turntables, lights, tables, smoke machines, lighting, cubes, mirrors, furniture, TVs, electronics, exercise equipment, sofas, cables, decorations, and any other equipment, as well as flooring, walls, mirrors, and doors in Suite 320, or any of the property within or on the property 2327 Wycliff Street, Saint Paul, Minnesota, 55114, or at any venue at which the above-mentioned are hosting/working/providing service.

              If damage of any of the above-mentioned equipment, item, or property occurs, the client, MARIE KUBE, is responsible for the cost to repair/replace anything damaged, broken, misused or stolen, & must do so within sixty (60) days.

        There is to be no smoking inside the building, no liquor sales, no illegal drug use, no possession of illegal drugs, and no sale off illegal drugs. ARENA is private property that also does not allow firearms on the premises. Occurrence of any of the above-mentioned stipulations will result in immediate expulsion of all people attending or related to the event, immediate cancellation of the event, all persons must leave the property, all persons will be trespassed from the property indefinitely, and no refund will be granted.

Marina Mortoglou /MARINA ARENA, LLC/ ARENA Fitness Healthclub/ PAK PROPERTIES/ PA HOLDING is not responsible for any injury, death, or accident caused by event attendees touching, tampering with, or otherwise misusing equipment or anything on the property.

              In consideration of my use of the exercise equipment, all property, the building itself & facilities provided by ARENA FITNESS HEALTHCLUB, MARINA ARENA LLC, MARINA MORTOGLOU, referred to from hereon in as “ARENA”, I expressly agree & contract, on behalf of my guests, myself, my heirs, executors, administrators, successors & assigns, that ARENA & its insurers, employees, officers, directors, & associates, shall not be liable for any damages arising from personal injuries (including death) sustained by me, or my guests in, on, or about the premises, or as a result of the use of the equipment or facilities, regardless of whether such injuries result, in whole or in part, from the negligence of ARENA FITNESS HEALTHCLUB, MARINA ARENA LLC, MARINA MORTOGLOU, PAK PROPERTIES, PA HOLDING.

              By the execution of this agreement, I accept & assume full responsibility for any & all injuries, damages (both economic and non-economic), & losses of any type, which may occur to me or my guests, & I hereby fully & forever release & discharge ARENA FITNESS HEALTHCLUB, MARINA ARENA LLC, MARINA MORTOGLOU, PAK PROPERTIES, PA HOLDING, its insurers, employees, officers, directors, & associates, from any & all claims, demands, damages, rights of action, or causes of action, present or future, whether the same be known or unknown, anticipated, or unanticipated, resulting from or arising out the use of said equipment & facilities to me or my guests.

              I expressly agree to indemnify & hold ARENA FITNESS HEALTHCLUB, MARINA ARENA LLC, MARINA MORTOGLOU harmless against any, & all claims, demands, damages, rights of action, or causes of action, of any person or entity, that may arise from injuries or damages sustained by me or my guests.  I agree I am solely responsible for the safety & well-being of my guests & myself.

I understand that ARENA FITNESS HEALTHCLUB, MARINA ARENA LLC, MARINA MORTOGLOU does not provide supervision, instruction, or assistance in the use of the facilities & equipment.

              I agree to comply with all rules imposed by ARENA FITNESS HEALTHCLUB, MARINA ARENA LLC, MARINA MORTOGLOU regarding the use of the facilities / equipment / everything in and around the building and in Suite 320.

              I agree to conduct myself in a controlled & reasonable manner at all times, & to refrain from using any equipment, furniture, sound equipment, lighting, or anything in this space in a manner inconsistent with its intended design & purpose.

              I understand & acknowledge that exercise of any kind & the use of exercise equipment involves risk of serious injury, including permanent disability & death.

              I understand & agree that ARENA FITNESS HEALTHCLUB, MARINA ARENA LLC, MARINA MORTOGLOU is not responsible for property that is lost, stolen, or damaged while in, on, or about the premises by me or my guests.

              I understand & agree that my use of the facilities & equipment is only to be undertaken during my own personal time, & that my use of the facilities & equipment is not within the course or scope of my employment.

              I/We hereby understand & acknowledge that the training, fitness classes, high intensity workout programs, events, parties, meetings or any rented events held by ARENA FITNESS HEALTHCLUB, MARINA ARENA LLC, MARINA MORTOGLOU may expose me to many inherent risks, including accidents, injury, illness, or even death.

              I/We assume all risk of injuries associated with participation including, but not limited to, falls, contact with other participants, the effects of the weather, including high heat and/or humidity, contracting covid-19, & all other such risks being known & appreciated by me and my guests.

              I/We hereby acknowledge my responsibility in communicating any physical & psychological concerns that might conflict with participation in activity.

              I/We acknowledge that I am physically fit & mentally capable of performing the physical activity I choose to participate in.

              After having read this waiver & knowing these facts, & in consideration of acceptance of my participation & ARENA FITNESS HEALTHCLUB, MARINA ARENA LLC, MARINA MORTOGLOU furnishing services to me, I agree, for myself, my guests, & anyone entitled to act on my behalf, to HOLD HARMLESS, WAIVE AND RELEASE ARENA FITNESS HEALTHCLUB, MARINA ARENA LLC, MARINA MORTOGLOU, PAK PROPERTIES, PA HOLDING its officers, agents, employees, organizers, representatives, & successors from any responsibility, liabilities, demands, or claims of any kind arising out of my participation in ARENA FITNESS HEALTHCLUB training, programs and/or parties and events.

              You, the client are paying for Ms. Mortoglou’s time to facilitate your event, not an actual rental of the building, suite, or property within.

              You, the client are paying for a service. Whether the service is rendered is up to your discretion but all fees for time and services are still required even upon cancellation or alteration of the event. For DJ services, payment is required even if you deem services are not necessary on the agreed upon time. If the event is cancelled/moved/altered, the financial reimbursement will not be mandatorily provided but may be offered at the discretion of Ms. Mortoglou unless otherwise outlined in the cancellation portion of this contract.

              By providing my signature I/We indicate that I/We have read & understand this Waiver of Liability. I am aware that this is a waiver and a release of liability, & I voluntarily agree to its terms.

Payment 

In exchange for event services, Marie Kube will pay compensation to Marina Mortoglou / MARINA ARENA, LLC / ARENA Fitness Healthclub in the amount of nine-hundred and three dollars and forty-four cents ($903.44). Included is a one hundred fifty ($150) dollar fee required for security & damage, and may be returned the week after the event provided no damage is sustained or additional costs will be incurred after the event. Also included is a $2 per-capita charge for fifty (50) people, totaling $100. If more than 50 people are in attendance, the difference will be deducted from the security deposit. If less than 50 people are in attendance, the difference will be refunded along with the $150 fee. The total balance is due prior to the start of the event ($903.44) due on 09/27/24 by 11:55pm CST), unless a pre-arranged, written & signed agreement is made.

DAY TWO

Security/Damage: $150.00

              Zumba Event: 3.5 hours @ $35/hr: $122.50

              Capacity Fee: 50 people @ $2/person: $100

              Cleaning Fee: $100

              Use of Sound System (by Marina) & Microphone: $25

              Lighting: $50

              Prep/Set-Up/Moving Equipment 2 hours @ $35/hour: $70

              Tear-Down/Cleaning/Move Equipment Back: 3 hours @ $35/hour: $105

SUBTOTAL: $722.50

              MN State Sales Tax 8.38%: $60.55 ($783.05)

              Online Processing Fee (from website) 2.9%: $22.71

TOTAL BALANCE DUE: $805.86

TWO DAY TOTAL: $1404.74

              Discount Day One 50% (-$299.44): $299.44

              Discount Day Two 25% (-$201.47): $604 ($150+ of which may be refunded ($454 total))

TOTAL BALANCE DUE: $903.44 ($150+ of which may be refunded, totaling $753.44)

Cancellation Policy

Both client and host can cancel this contract however the following stipulations will apply;

              All deposits and fees are non-refundable.

              A minimum of two days' notice will be required to cancel this contract.

              Any cancellation made within less than three days' notice prior to the agreed upon date of services will result in full payment of $903.44 to Marina Mortoglou

              If cancellation is made by Marina Mortoglou, all monies paid prior to event will be refunded within two (2) weeks from cancellation date, reason must be very extreme in nature, & alternate host/venue attempts must be made.

              Any natural disaster or in-climate weather attributing to the cancellation of this event will result in refund of 25% of the total, unless event can be rescheduled to a reasonable, non-conflicting day.

Agreement

By providing my typed/signed name below, I acknowledge that I understand and am in agreement with the above-mentioned terms and will comply fully with the stipulations of this contract.
